im not really sure what to look for,
was going to get a pentium D 940 3.2GHz 800MHz FSB L2 4MB
but its a 3year old chip now (although going for good prices)
how would it compare to a Q6600 core2 2.4GHZ 1066MHz L2 8MB
being a newer chip.
as i wont really use the quad core to its full potential.
any input/ recomendations/ alternatives appreciated

If you're into overclocking, the Q6600 can be taken to well over 3.0GHz if you know exactly what you're doing and you have the right BIOS.
You'd be better off getting an E series chip over a Pentium D, or maybe even a T but I'm not sure what sort of speed that series goes up to.

D 940 is old hat these days, it's older than the Q6600 and out of those two i go for the latter (atleast it's future proofing you to an extent and you can overclock the nuts out of Q6600s).
However, i'm assuming you're after a scoket 775 processor? I'd have a look at the newer 45nm Core2Duos E8400/E8500 which are similar priced.
